These terms govern use of this website and, where incorporated into a quotation/order, MDE’s supply of products, project support and coordinated installation services. A specific written quotation, order acknowledgement or separately agreed contract may contain additional or overriding terms.
Our website and quotation process are primarily intended for commercial and professional customers. Nothing in these terms excludes rights that cannot lawfully be excluded. If you are purchasing as a consumer, please tell us before placing an order so the appropriate statutory terms can be applied.
Website enquiries are invitations to quote and are not accepted orders. A quotation is based on the information available at the time. No contract is formed until MDE accepts the order in writing or otherwise clearly confirms acceptance. Quotations may have an expiry date and may be withdrawn or revised before acceptance.
The customer is responsible for the accuracy and completeness of dimensions, quantities, drawings, schedules, specifications, performance requirements, site details and other information it supplies unless MDE has expressly agreed in writing to verify a particular item. Made-to-measure products ordered against customer-provided information may not be returnable or cancellable once manufacture or procurement has begun.
Quoted prices assume the scope, quantities, access, programme and site circumstances described in the quotation. MDE may issue a revised price or variation where the scope changes or where relevant information was inaccurate, incomplete or unavailable when quoted. This may include increased or decreased quantities, specification changes, failed or restricted access, aborted attendance, waiting time, out-of-hours working, inductions, permits, specialist access equipment, lifting requirements, additional deliveries, storage, return visits or other additional work.
Unless expressly included, parking charges, congestion or clean-air charges, tolls, bridge/ferry charges, permits, accommodation, specialist delivery requirements and other consequential project costs not disclosed at enquiry/quotation stage may be charged additionally where reasonably incurred.
For supply-only orders, responsibility for unloading, safe storage, installation, commissioning, electrical connections, interfaces, final adjustment, testing and statutory compliance rests with the customer and its competent installers unless the quotation expressly states otherwise. Product warranties remain subject to the relevant manufacturer’s conditions.
Where installation is included, MDE may coordinate and deliver installation through appropriately selected specialist subcontractors. MDE does not represent that all site labour is directly employed by MDE. The precise installation scope, exclusions, attendance requirements and responsibilities will be stated in the quotation/order documentation.
The customer must provide safe, timely and unobstructed access; suitable working areas; agreed welfare and site facilities; accurate information about hazards and services; and any customer-controlled permits or inductions. Openings, supporting structure, power supplies and interfaces must be ready as agreed. Additional cost caused by delay, failed access or unsuitable site conditions may be chargeable.
Fire shutters, fire curtains, smoke curtains and related life-safety products must be correctly specified for the building design and intended application. Unless expressly included within MDE’s written scope, responsibility for the overall fire strategy, fire-risk assessment, building-control approval, design responsibility and confirmation of required classifications/performance remains with the customer and its appointed competent designers or fire professionals.
Delivery dates are estimates unless expressly agreed otherwise. Risk in goods normally passes in accordance with the agreed delivery terms. To the extent permitted by law and where stated in the quotation/order, title may remain with MDE until sums due for the goods have been paid in full. Bespoke delivery and title provisions in an accepted quotation/order take precedence.
MDE is not responsible for delay or failure caused by events outside its reasonable control, including manufacturer delays, transport disruption, material shortages, industrial action, severe weather, utility failures, governmental action or site restrictions. We will seek to communicate material delays and mitigate them where reasonably possible.
Cancellation is subject to MDE’s written agreement and any costs already committed. Bespoke, made-to-order, modified or specially procured products may be non-cancellable and non-returnable after procurement/manufacture has commenced. Any permitted return may be subject to condition checks, transport costs and supplier/restocking charges.
Customers should inspect goods promptly and notify MDE of visible damage, shortages or discrepancies as soon as reasonably possible. Defect and warranty claims are subject to the product, installation and manufacturer warranty terms applicable to the order. Damage arising from misuse, impact, unauthorised alteration, inadequate maintenance, unsuitable power supply or work by others may fall outside warranty.
Doors, shutters, gates, barriers and fire/smoke products may require inspection, testing and maintenance at appropriate intervals. Unless a maintenance service is expressly contracted, ongoing inspection, maintenance and statutory duties remain the responsibility of the relevant dutyholder/customer.
Payment terms will be stated in the quotation or invoice. Deposits, stage payments or payment before manufacture/despatch may apply. Overdue commercial sums may attract statutory interest and recovery costs where applicable.
Nothing excludes liability where exclusion is unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, any limitations or exclusions applicable to a particular project should be set out in the accepted quotation or contract. MDE is not responsible for losses caused by inaccurate customer information, work outside MDE’s scope, misuse, lack of maintenance, unauthorised modification or acts/omissions of parties outside MDE’s responsibility.
